Terms of Service

Welcome to Enventro. These Terms of Service ("Terms") govern your access to and use of the Enventro platform, available at enventro.com and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms.

If you are using Enventro on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Who Can Use Enventro

You must be at least 13 years old to use Enventro. If you are under 18, you must have permission from a parent or guardian. If your local law requires a higher age of digital consent (for example, 16 in some European jurisdictions), that age applies. You agree to provide accurate information when creating an account and to keep your credentials secure.

2. Two Types of Users

Organizers

Organizers create events, list tickets, and receive payments via Stripe Connect. As an organizer, you are solely responsible for:

  • The accuracy of all event information (date, time, location, description)
  • Delivering the event as described
  • Handling attendee inquiries, complaints, and refund requests
  • Complying with all applicable laws, permits, and regulations
  • All tax obligations — see Section 4 for details

Enventro charges zero platform fees. Stripe's standard payment processing fees apply and are disclosed at checkout. You will need a Stripe account to receive payouts.

Attendees

Attendees browse events, purchase tickets, and attend events. When you purchase a ticket, you enter into an agreement with the organizer — not Enventro. Enventro facilitates the transaction but is not a party to it.

3. Donations

Enventro is sustained by optional donations from attendees and organizers. Donations are voluntary. At checkout, attendees may be offered the option to add a small donation to support the platform. This donation goes directly to Enventro and is separate from the ticket price paid to the organizer.

Donations are non-refundable.

4. Organizer Tax Responsibility

Enventro does not collect, file, or remit any taxes on behalf of organizers. This includes, without limitation, Value Added Tax (VAT), Goods and Services Tax (GST), Harmonized Sales Tax (HST), Provincial Sales Tax (PST), Quebec Sales Tax (QST), state or local sales taxes, or any other transaction taxes or duties imposed by any jurisdiction.

Each organizer is solely and fully responsible for:

  • Determining whether they are required to register for, collect, or remit any tax in any jurisdiction
  • Configuring their tax rates correctly within the Platform, including any rate that applies to specific events, locations, or attendees
  • Collecting the correct amount of tax from attendees through the Platform's tools
  • Filing all required tax returns and remitting all collected taxes to the relevant tax authorities on time
  • Issuing any required tax invoices, receipts, or supplementary documentation to attendees in compliance with the laws of their jurisdiction

Enventro provides tax-rate configuration tools as a convenience only. These tools do not constitute tax advice, and Enventro makes no representation that the tax features are appropriate or sufficient for any particular jurisdiction or use case. Organizers are encouraged to consult a qualified tax professional in their jurisdiction.

In the United States, Enventro uses Stripe to facilitate IRS Form 1099-K reporting for US-based organizers who exceed annual payment thresholds. Stripe collects organizer tax information, generates required forms, and files them with the IRS on Enventro's behalf. US organizers are responsible for providing accurate tax identification information (SSN or EIN) when prompted by Stripe.

5. Payments and Refunds

Payment Processing

Payments are processed by Stripe, Inc. ("Stripe"). Organizers receive funds through a Stripe Connect Express account that the organizer establishes during onboarding. Use of Stripe is governed by the Stripe Connected Account Agreement and the Stripe Services Agreement applicable to the organizer's country of incorporation. Attendees making purchases agree to Stripe's consumer terms.

Enventro is not a payment processor and does not hold attendee funds at any point. Funds flow directly from the attendee, via Stripe, to the organizer's Stripe Connect account on the payout schedule defined in the organizer's Stripe settings. Stripe Connect availability varies by country. Enventro can only onboard organizers from countries where Stripe Connect is enabled for our platform and where the organizer can complete Stripe's identity verification requirements. Enventro reserves the right to decline onboarding to any organizer whom Stripe declines to verify.

Currency and Foreign Exchange

Each organizer's organization is configured with a primary currency (the "Settlement Currency") matching the country of their Stripe Connect account. All ticket prices, fees, taxes, refunds, and reports for that organization are denominated in the Settlement Currency. When an attendee purchases a ticket in a currency different from their card's billing currency, the attendee's card issuer (not Enventro and not Stripe) determines the foreign exchange rate and may apply additional fees. Enventro is not responsible for any difference between displayed ticket prices and the amount ultimately charged to the attendee's card due to foreign exchange. Organizers acknowledge that if their Stripe Connect account's settlement currency differs from the currency of a ticket sale, Stripe may convert funds at Stripe's prevailing exchange rate (which includes Stripe's currency conversion margin). Enventro has no control over Stripe's conversion rates.

Refunds

Refund policies are set by the organizer and displayed on the event page. Enventro does not control or guarantee refunds. If an organizer cancels an event, you should contact the organizer directly. Enventro may, at its discretion, assist in resolving disputes but is not obligated to issue refunds. In the event of fraud or unauthorized charges, please contact your bank or card issuer directly.

Chargebacks

If an attendee initiates a chargeback or payment dispute through their card issuer, Stripe will deduct the disputed amount (plus any applicable dispute fee) from the organizer's Stripe Connect account. Enventro does not absorb or share chargeback liability. Organizers are responsible for responding to chargeback inquiries through the Stripe dashboard within the timeframes Stripe specifies.

6. Prohibited Uses

You agree not to use Enventro to:

  • List fraudulent, misleading, or non-existent events
  • Sell tickets to events you do not have the right to host
  • Collect payment without intending to deliver the event
  • Violate any applicable laws, including consumer protection and anti-fraud laws
  • Harass, threaten, or harm other users
  • Scrape, crawl, or extract data from the Platform without permission
  • Reverse-engineer or attempt to compromise Platform security
  • Use automated tools to create accounts or purchase tickets in bulk (scalping)
  • Upload content that is defamatory, obscene, or infringes third-party rights

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

7. Content You Submit

By uploading event descriptions, images, or other content to Enventro, you grant us a non-exclusive, royalty-free license to display and distribute that content as part of operating the Platform (e.g., showing your event on the discovery map or in search results).

You represent that you own or have permission to use all content you upload, and that it does not violate any third-party rights.

8. Intellectual Property

The Enventro name, logo, and Platform design are owned by Enventro. Nothing in these Terms grants you a right to use our trademarks or branding without written permission.

9. Disclaimers

Enventro provides the Platform "as is" and "as available." We make no warranty that the Platform will be uninterrupted, error-free, or that events listed on the Platform will occur as described. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

Enventro is a technology platform, not an event producer. We are not responsible for the quality, safety, legality, or delivery of any event.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Enventro and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost data, or personal injury, arising out of your use of the Platform.

Our total liability to you for any claim arising out of or relating to these Terms or the Platform is limited to the greater of (a) the amount you paid to Enventro in the 12 months preceding the claim (which, given our zero-fee model, may be $0) or (b) one hundred Canadian dollars (CAD $100).

11. Indemnification

You agree to indemnify and hold Enventro harmless from any claims, damages, or expenses (including legal fees) arising out of your use of the Platform, your events, your content, or your violation of these Terms.

Without limiting the foregoing, organizers specifically agree to indemnify Enventro against any claim, penalty, interest, or liability arising from the organizer's failure to comply with their tax obligations described in Section 4.

12. Account Termination

You may delete your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, if Stripe terminates or restricts your connected account, or if we discontinue the Platform.

Upon termination, your right to use the Platform ceases. Provisions that by their nature should survive termination (including Sections 9, 10, and 11) will do so.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, and you consent to that jurisdiction. Nothing in these Terms waives or limits any non-waivable rights granted to you by applicable consumer protection law in your jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes your acceptance of the new Terms.
